SOFTWARE LICENSE AGREEMENT
PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY BEFORE DOWNLOADING OR USING THE SOFTWARE.

1. Single User License Grant: Developer NUMERUS INC grants to the Licensee a nonexclusive and nontransferable license to use this Numerus Software (“Software”) in object code form.
EXCEPT AS EXPRESSLY AUTHORIZED ABOVE, Licensee SHALL NOT: COPY, IN WHOLE OR IN PART, SOFTWARE OR DOCUMENTATION; MODIFY THE SOFTWARE; REVERSE COMPILE OR REVERSE ASSEMBLE ALL OR ANY PORTION OF THE SOFTWARE; OR RENT, LEASE, DISTRIBUTE, SELL, OR CREATE DERIVATIVE WORKS OF THE SOFTWARE.
2. Ownership And Copyright Of Software: Title to the Software and all copies thereof remain with NUMERUS. The Software is copyrighted and is protected by United States copyright laws and international treaty provisions. You will not remove copyright notices from the Software. You agree to prevent any unauthorized copying of the Software. Except as expressly provided herein, NUMERUS does not grant any express or implied right to you under patents, copyrights, trademarks, or trade secret information.
3. THE SOFTWARE IS PROVIDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT SHALL NUMERUS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF NUMERUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
4. NUMERUS has the right to terminate this License Agreement and Licensee’s right to use the Software upon any material breach by Licensee.
5. Licensee agrees to return to NUMERUS or to destroy all copies of the Software upon termination of the License.
6. Software, including technical data, is subject to U.S. export control laws, including the U.S. Export Administration Act and its associated regulations, and may be subject to export or import regulations in other countries. Customer agrees to comply strictly with all such regulations and acknowledges that it has the responsibility to obtain licenses to export, re-export, or import Software.
7. This License Agreement is valid without a NUMERUS representative’s signature. It becomes effective upon the Licensee’s use of the Software.
